# EULA

## Terms of Service & End User License Agreement (EULA)

These Terms of Service and End User License Agreement (“Agreement”) govern your access to and use of the **LegisRatio MCP Server**, related APIs, and associated services (collectively, the “Service”) provided by **LegisRatio S.r.l.** (“Provider”, “we”, “us”, or “our”).

By downloading, installing, accessing, or using the Service, you agree to be bound by this Agreement. If you do not agree, you must not use the Service.

## 1. License Grant

Subject to this Agreement, Provider grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal professional or business purposes.

This license does not grant you any ownership rights in the Service or underlying technology.

## 2. Acceptable Use Restrictions

You agree not to:

1. Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service.
2. Scrape, replicate, or systematically extract data from the Knowledge Graph or API.
3. Use the Service to build a competing legal database, AI system, or search product.
4. Resell, sublicense, or provide third-party access to the Service without authorization.
5. Use the Service for unlawful purposes or to violate applicable laws or third-party rights.
6. Upload malicious code, attempt to disrupt service availability, or bypass rate limits.
7. Use the Service for fully automated legal decision-making without human review.

Provider reserves the right to suspend or terminate access for violations of this section.

## 3. Data Collection & Usage

To provide and improve the Service, Provider collects and processes certain data.

By using the Service, you consent to this processing.

### 3.1 Data We Collect

We may collect and process:

* **Content & Prompts:** Queries, prompts, and contextual information sent to the Service
* **Technical Telemetry:** IP addresses, API client versions, request logs, error logs, and performance metrics
* **Identity Data:** API keys, authentication tokens, and OAuth identifiers
* **Usage Metrics:** Request frequency, feature usage, and rate limiting data

### 3.2 Use of Input Data

You grant Provider a non-exclusive, worldwide, royalty-free license to use Input Data to:

* Improve search relevance
* Enhance Knowledge Graph accuracy
* Train and refine indexing systems
* Maintain service security and performance

We will not publicly disclose identifiable user data without consent unless required by law.

### 3.3 Data Retention

Input Data and telemetry logs are retained only as long as necessary for service operation, security, and improvement. Data may be deleted, aggregated, or anonymized after a reasonable retention period unless required for legal obligations.

## 4. GDPR Compliance

Provider is established in Italy and complies with Regulation (EU) 2016/679 (GDPR).

Users should avoid submitting highly sensitive personal data unless covered by a separate Data Processing Agreement (DPA).

## 5. API Keys & Account Security

You are responsible for:

* Maintaining the confidentiality of API keys
* All activity performed using your credentials
* Promptly notifying Provider of unauthorized use

Provider may revoke or rotate API credentials at any time for security reasons.

## 6. Intellectual Property

The Service, including software, models, Knowledge Graph structure, and documentation, is the exclusive property of Provider and protected by intellectual property laws.

You retain ownership of your submitted Input Data. Provider retains ownership of all improvements, indexing structures, and derived system enhancements.

Generated outputs are provided for your use, but Provider makes no claim of ownership over user-specific results.

## 7. AI System Disclaimer

The Service uses artificial intelligence and automated indexing technologies.

You acknowledge that:

* Outputs may be incomplete, inaccurate, or outdated
* Results are probabilistic and non-deterministic
* Citations may require verification
* The Service does not replace professional legal judgment

You agree not to rely solely on the Service for legal decisions.

## 8. No Legal Advice

The Service is a research and information tool only.

Nothing provided by the Service constitutes legal advice, legal opinion, or professional consultation. Users must independently verify all information against official sources.

## 9. Service Availability

Provider may:

* Modify or discontinue features
* Change API limits or pricing
* Perform maintenance or updates
* Restrict access for security or operational reasons

The Service is provided without guaranteed uptime or availability.

## 10. Warranty Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDER DISCLAIMS ALL WARRANTIES, INCLUDING:

* MERCHANTABILITY
* FITNESS FOR A PARTICULAR PURPOSE
* NON-INFRINGEMENT
* ACCURACY OR RELIABILITY OF OUTPUTS

## 11. Limitation of Liability

To the maximum extent permitted by law:

Provider shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business interruption.

Provider’s total aggregate liability shall not exceed the greater of:

* The amount paid by you in the preceding 12 months, or
* €100

## 12. Indemnification

You agree to indemnify and hold harmless Provider, its officers, employees, and affiliates from any claims, damages, or liabilities arising from:

* Your misuse of the Service
* Your violation of this Agreement
* Your reliance on generated outputs
* Your violation of applicable law or third-party rights

## 13. Termination

Provider may suspend or terminate your access at any time if:

* You violate this Agreement
* Your use poses security risks
* Required by law

Upon termination, your license to use the Service immediately ends.

## 14. Changes to Terms

Provider may update this Agreement periodically. Continued use of the Service after updates constitutes acceptance of revised terms.

## 15. Governing Law

This Agreement is governed by the laws of Italy.

Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Milan, Italy.
